Terms of Service

These Terms of Service ("Terms") govern your use of AI Studio Pro software ("the Application," "Software," or "Service") distributed through the Microsoft Store.

1. Agreement to Terms

By downloading, installing, or using AI Studio Pro, you agree to be bound by these Terms. If you do not agree, do not use the Application.

2. License Grant

2.1 Limited License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Install and use AI Studio Pro on devices you own or control
• Use the Software for personal or commercial purposes
• Generate content using the Software

2.2 License Tiers

• Free Tier: Main Window chat only, 3 models (any GGUF or SafeTensors chat models), local models only
• Basic Tier: Main Window chat with unlimited models, includes cloud AI provider support (OpenAI, Claude, Groq, etc.)
• Pro Tier: All 9 studios including Image Studio, Code Studio, Audio Studio, Fine-tuning, and all advanced features

2.3 One-Time Purchase

All paid licenses are one-time purchases. You receive:

• Perpetual license to use the tier you purchased
• Free updates and bug fixes for life
• No recurring charges or subscriptions

3. Restrictions

You may NOT:

• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices
• Rent, lease, or lend the Software to third parties
• Use the Software for illegal purposes
• Circumvent license verification or payment systems
• Redistribute the Software or installation files
• Use the Software to create competing products

4. Ownership of Generated Content

4.1 Your Content

You retain all rights to content you generate using AI Studio Pro, including:

• Text generated by language models
• Images generated by image models
• Code generated by Code Studio
• Audio generated by voice synthesis
• Custom trained models and LoRAs

4.2 Limitations

Your content ownership is subject to:

• Rights of the underlying AI model creators (most models are open-source)
• Applicable laws (copyright, trademark, etc.)
• Third-party cloud provider terms (if using their APIs)

4.3 No Ownership Claims

We make no ownership claims to your:

• Prompts or queries
• Generated content
• Training data or custom models
• Projects or conversations

5. AI Models and Third-Party Content

5.1 Local AI Models

AI Studio Pro allows you to download and use open-source AI models. These models:

• Are created by third parties (Meta, Stability AI, etc.)
• Have their own licenses (usually Apache 2.0, MIT, or custom)
• You are responsible for complying with model licenses
• We are not liable for model outputs or behaviors

5.2 Cloud AI Providers

If you use cloud AI providers (OpenAI, Claude, Groq):

• You must comply with their Terms of Service
• You provide your own API keys (we don't resell their services)
• Direct relationship between you and the provider
• We are not responsible for their service availability or content

6. Acceptable Use

6.1 Permitted Uses

You may use AI Studio Pro for:

• Personal projects and hobbies
• Commercial work and business purposes
• Education and research
• Content creation (blogs, videos, art, etc.)
• Software development

6.2 Prohibited Uses

You may NOT use AI Studio Pro to:

• Generate illegal content (child exploitation, terrorism, etc.)
• Create malware, viruses, or harmful code
• Harass, threaten, or harm others
• Infringe on others' intellectual property rights
• Impersonate others or create deepfakes without consent
• Violate export control or sanctions laws
• Generate spam or phishing content

7. System Requirements

You are responsible for ensuring your hardware meets minimum requirements:

• Windows 10/11 (64-bit)
• 32GB RAM (mandatory for Flux and larger models)
• NVIDIA RTX 3060 12GB or better (12GB VRAM minimum)
• 50GB+ available storage (30GB app + models)
• Modern 6-core+ processor

We do not guarantee performance on systems below these specifications. The Free tier allows you to test compatibility before purchasing.

8. Updates and Support

8.1 Software Updates

We may provide:

• Bug fixes and security patches
• Feature improvements and enhancements
• New AI model support
• Performance optimizations

Updates are provided free of charge through the Microsoft Store.

8.2 Support

We provide:

• Email support for technical issues
• Documentation and FAQs
• Community forums (if available)

Support is provided on a best-effort basis with no guaranteed response times.

9. Disclaimer of Warranties

AI-generated content may contain:

• Inaccuracies or "hallucinations"
• Biases from training data
• Inappropriate or offensive content
• Copyrighted material (verify before using commercially)

Always verify AI-generated content before using it for important purposes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount you paid for the license ($49.99 maximum)
• We are not liable for loss of data, profits, or business opportunities
• We are not liable for content generated by AI models

Some jurisdictions do not allow these limitations, so they may not apply to you.

• Full refund if the software doesn't work on your system
• Refunds processed through Microsoft Store

12. Privacy

Your use is governed by our Privacy Policy. Key points:

• We don't collect your personal data
• All processing happens locally on your PC
• Your data stays on your computer

13. Export Controls

You agree to comply with all export and import laws. Some AI models may be subject to export restrictions. You may not:

• Export the Software to embargoed countries
• Use the Software in violation of U.S. export laws
• Provide access to restricted parties

Your purchase and download through Microsoft Store is also subject to:

• Microsoft Store Terms of Use
• Microsoft Services Agreement
• Microsoft Privacy Statement

15. Termination

15.1 By You

You may terminate this agreement at any time by:

• Uninstalling the Software
• Deleting all copies
• Ceasing all use

15.2 By Us

We may terminate or suspend your license if you:

• Violate these Terms
• Use the Software for illegal purposes
• Circumvent payment or licensing systems

15.3 Effect of Termination

Upon termination:

• Your license to use the Software ends
• You must uninstall and delete all copies
• No refunds for violations of Terms
• Sections on liability and warranties survive

16. Changes to Terms

We may modify these Terms at any time. Changes are effective when posted at aistudio-pro.com/terms-of-service.html. Material changes will be announced in the app. Continued use after changes constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law provisions. Any disputes shall be resolved in the courts of [Your Jurisdiction].

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

20. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Studio Pro.
